Terms and Conditions

1.1. By creating an account, subscribing to our services, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and any other policies referenced herein.

1.2. We may update these Terms from time to time. We will notify you of any changes by posting the new Terms on the Platform and updating the “Last Updated” date. Your continued use of the Platform after such changes indicates your acceptance of the updated Terms.

2.1. You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Platform and to enter into these Terms.

2.2. By using the Platform, you represent and warrant that you meet all eligibility requirements. We may, at our sole discretion, refuse to offer the Platform to any person or entity and change eligibility criteria at any time.

3.1. Monthly Subscription: The Platform operates on a subscription model, billed on a monthly basis (“Subscription”). By subscribing, you agree to pay all applicable fees for the duration of the Subscription term.

3.2. Free Trials: We may, at our sole discretion, offer free trial periods. These free trial terms will be communicated at sign-up. If you do not cancel before the trial period ends, your Subscription will automatically convert to a paid Subscription, and you will be charged according to your selected plan.

3.3. Billing Cycle: Subscription fees will be billed at the start of the paying portion of your Subscription and each month thereafter unless and until you cancel your Subscription. We automatically bill your payment method on the calendar day corresponding to the commencement of your paying Subscription.

3.4. Payment Method: To subscribe, you must provide a valid payment method. By providing payment information, you represent and warrant that you are authorized to use the designated payment method and that you permit us (or our third-party payment processor) to charge that payment method for the total amount due for your Subscription.

3.5. Price Changes: We reserve the right to adjust pricing for our services at any time. We will provide you with reasonable notice in advance of any price changes. If you do not agree to the new price, you may cancel your Subscription before the new rate goes into effect.

3.6. Cancellation and Refunds: You may cancel your monthly Subscription at any time via your account settings or by contacting our support team at contact@socialwatch.ai. Cancellation will take effect at the end of the current billing cycle. We generally do not offer refunds for partially used subscription periods, except where required by law or at our sole discretion.

4.1. Account Creation: You may be required to create an account by providing a valid email address, username, and password. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

4.2. Account Security: You agree to immediately notify us of any unauthorized use of your account or any other breach of security. We are not liable for any losses caused by unauthorized use of your account, but you may be liable for our losses or the losses of others due to such unauthorized use.

4.3. Account Termination: We reserve the right to suspend or terminate your account at any time, with or without notice, if you violate these Terms or engage in fraudulent or illegal activities.

5.1. License Grant: Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable, revocable license to access and use the Platform for your personal or internal business purposes.

5.2. Prohibited Conduct: You agree not to: use the Platform for any unlawful or fraudulent purpose; access or attempt to access the accounts of other users or violate security features of the Platform; reverse engineer or otherwise extract source code from the Platform or its software; upload, post, or otherwise transmit any content that is defamatory, threatening, infringing, obscene, or otherwise objectionable; resell or sublicense the Platform or any related data or content; use the Platform or any report it generates to make, inform, or contribute to any decision regarding employment, hiring, firing, promotion, demotion, compensation, tenancy, credit, insurance, immigration, education admission, child custody, criminal justice, or any other decision that produces a legal or similarly significant effect on the subject of the report; use the Platform to conduct surveillance or build a profile of an individual for sale to a third party; use the Platform to enable any decision that the subject has not, or could not, give meaningful consent to in any jurisdiction where such consent is legally required; use the Platform to harass, threaten, defame, or stalk any person; use any output of the Platform as training data, fine-tuning data, or evaluation data for any third-party AI model or competing aggregation product.

5.3. User-Generated Content: If you submit any content to the Platform (e.g., comments, feedback), you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, distribute, display, and perform that content in connection with the Platform.

6.1. Ownership: The Platform (including all content, features, and functionality) and any related intellectual property rights are owned by us or our licensors. Except for the limited license granted to you in Section 5, no right, title, or interest in the Platform is transferred to you.

6.2. Trademarks: All trademarks, logos, service marks, and trade names displayed on or in connection with the Platform are our property or the property of their respective owners. You may not use any of these marks without prior written permission.

7.1. AI-Generated Insights: The Platform uses Artificial Intelligence (AI), including large language models accessed via standard commercial APIs from leading third-party providers, to analyze publicly available social media content. Any reports or insights generated by our AI are for informational purposes only. We do not guarantee their accuracy, completeness, or reliability.

7.2. No Professional Advice: The Platform is not intended to provide legal, medical, mental health, or other professional advice. If you have concerns regarding the AI-generated insights, please consult a qualified professional.

7.3. Risk Assumption: You acknowledge and accept that any reliance on AI-generated insights is solely at your own risk.

7.4. Public Data Only: The Platform reads only content that the relevant account owner has chosen to make public on the relevant social media platform. We do not log into any user's account on any social media platform, we do not collect or store credentials for any social media platform, we do not bypass any login wall, and we do not access private accounts, direct messages, non-public stories, drafts, location history, or any other content that requires authentication. We are not affiliated with, endorsed by, or operated by Meta Platforms, Instagram, TikTok, X, or any other social media platform.

7.5. Permitted Purpose: The Platform is provided for personal awareness — for example, helping a parent, partner, friend, mentor, journalist, or researcher understand the public side of an account's content. The reports describe the digital environment that surrounds the subject (the public content of the accounts the subject follows); they do not, and are not designed to, describe the subject themselves.

7.6. No Consumer Reporting / FCRA Disclaimer: The Platform is not a consumer reporting agency as defined by the U.S. Fair Credit Reporting Act (15 U.S.C. § 1681 et seq.) ("FCRA"), and the reports are not "consumer reports" under the FCRA. You may not use the Platform or any report it generates, in whole or in part, for any "permissible purpose" under the FCRA, including (without limitation) eligibility for credit, insurance, employment, or any other purpose for which a consumer report would normally be used. For any such purpose, you must use a properly regulated background-check or consumer-reporting provider instead.

7.7. No Solely Automated Decisions (GDPR Article 22): The reports are descriptive analyses, not automated decisions. Any human acting on a report is solely responsible for the decision they make and is the controller of that decision under the EU General Data Protection Regulation (GDPR), the UK GDPR, and any equivalent law. The Platform must not be used as part of any process that produces legal or similarly significant effects on a person without meaningful human review.

8.1. As Is and As Available: The Platform is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

8.2. No Guarantee: We do not warrant that the Platform will be error-free or uninterrupted, or that defects will be corrected. We do not warrant that any particular results or insights can be achieved through the use of the Platform.

8.3. Third-Party Links and Services: The Platform may contain links to third-party websites or services. We do not control, endorse, or assume responsibility for any third-party content, products, or services.

9.1. Indirect Damages: To the maximum extent permitted by applicable law, in no event shall we or our directors, officers, employees, or agents be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use or inability to use the Platform, even if we have been advised of the possibility of such damages.

9.2. Aggregate Liability: To the extent permitted by law, our total liability arising out of or related to these Terms shall not exceed the amount you paid for the Subscription in the six (6) months preceding the event giving rise to the liability, or one hundred U.S. dollars (US $100) if you have not had any payment obligations.

9.3. Jurisdictional Limits: Some jurisdictions do not allow the exclusion or limitation of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the fullest extent permitted by law.

You agree to defend, indemnify, and hold us (including our affiliates, officers, directors, employees, and agents) harmless from any claims, damages, liabilities, losses, costs, or expenses (including attorney’s fees) arising out of or related to your use of the Platform, violation of these Terms, or infringement of any intellectual property or other right of any person or entity.

11.1. Termination by You: You may cease using the Platform at any time and cancel your Subscription per Section 3.6. However, you are responsible for all fees due through the end of the current billing cycle.

11.2. Termination by Us: We reserve the right to suspend or terminate your account or access to the Platform if we believe you have violated these Terms or engaged in fraudulent activity. We will not be liable to you or any third party for such termination.

11.3. Effect of Termination: Upon termination of your account, your right to use the Platform will immediately cease. Any provisions of these Terms that by their nature should survive termination shall survive, including intellectual property rights, disclaimers, indemnities, and limitations of liability.

12.1. Governing Law: These Terms and any dispute arising out of or related to these Terms or the Platform shall be governed by and construed in accordance with the laws of the jurisdiction in which socialwatch.ai is headquartered, without regard to conflict of law provisions.

12.2. Dispute Resolution: Any claims or disputes arising out of these Terms shall be resolved exclusively in the courts located in that jurisdiction. You waive any objection to venue or jurisdiction in those courts.

13.1. Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13.2. No Waiver: Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

13.3. Entire Agreement: These Terms, together with our Privacy Policy and any other agreements or policies expressly incorporated by reference, constitute the entire agreement between you and us regarding your use of the Platform, superseding any prior agreements.

13.4. Assignment: You may not assign or transfer these Terms or any rights or obligations herein without our prior written consent. We may freely assign our rights and obligations under these Terms.

13.5. Force Majeure: We shall not be liable for any delays or failures to perform resulting from causes beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, or natural disasters.
